These Terms of Service ("Terms") set forth the terms between the Company and users ("User" or "Users") of any services or features of VEMA, including its video editing functions ("Service"), which is provided by the Company.
"App" means the application software "VEMA" designed for smartphones and/or tablet computers which is provided by the Company for the Service.
(1) Users shall assent to the Terms and use the Service in accordance with the Terms.
(2) Minors may use the Service only with consent from their legal guardian, such as a parent.
All rights in regard to the App and the Service (including but not limited to the intellectual property rights such as copyrights, trademarks, patents) shall be retained by the Company or licensors of such rights.
(1) The Company shall grant Users the right to use the Service insofar as Users use the Service in accordance with the Terms and other conditions described in the Service. Users cannot assign or lease such right to use the Service to third parties.
(2) Unless otherwise expressly designated by the Company in the Service, the User's usage history within VEMA, such as editing preferences, filter and effect settings, and other setting information, will be cleared when the User deletes the App from their smartphone or tablet computer. The User cannot have a new device take over their prior usage history.
(3) The Company reserves the right to provide Users with advertisements for the Company or a third party through the Service.
(4) The Company reserves the right to modify, cease, or terminate, at its own discretion, the whole or part of the Service at any time without prior notice to Users.
(1) The Company places the highest priority on the privacy of Users. The Company promises to exercise the utmost care and attention regarding its security measures for the continued security of any and all User information.
(2) The Company promises to protect the privacy and personal information of Users in accordance with the VEMA Privacy Policy.
(3) Notwithstanding the foregoing, you may choose to create user-generated content, such as your profile information (e.g. user name, profile picture, videos) and share it with others, including other Users and people off of the Service ("Recipients"). If you choose to share user-generated content or other information with Recipients, it shall be deemed that you are allowing Recipients to access and use that information. Please remember that content you share with others can be copied, stored, or disseminated by the Recipients and accessed by unintended parties due to the nature of digital data. We encourage you to pay close attention when you generate and share your information or content.
6.1 The Company is the holder of all rights and/or legally exploits the App. The User agrees that patents, marks, models, author's rights, and other intellectual property rights concerning the Company and the App, including any modifications, translations, adaptations, improvements, corrections, updates, new versions, or derivative works, are and remain reserved at all times to the Company. The User agrees to use the App in accordance with these Terms and agrees not to detract in any way from the Company's property rights. Such an infringement could result in legal action and termination of these Terms.
Users shall not engage in the following when using the Service:
(1) Activities that violate the law, court verdicts, resolutions, orders, or legally binding administrative measures.
(2) Activities that may hinder public order or customs.
(3) Activities that infringe intellectual property rights, such as copyrights, trademarks, patents, fame, privacy, portrait, or any other rights of the Company and/or a third party granted by law or contract.
(4) Activities that post or transmit violent or sexual expressions; expressions that lead to discrimination based on race, national origin, creed, sex, social status, or family origin; expressions that induce or encourage suicide, self-injury, or drug abuse; or anti-social expressions that lead to the discomfort of others.
(5) Activities that misrepresent the Company and/or a third party, or that intentionally spread false information.
(6) Activities that use the Service for harassment or libelous attacks against other Users, for the purpose of meeting a person for sexual encounters, or for purposes other than the Service's intended use.
(7) Activities that benefit or collaborate with anti-social groups.
(8) Activities that illegally or improperly lead to the collection, disclosure, or provision of another's personal information, registration information, or user history.
(9) Activities that interfere with the servers and/or network systems of the Service, that abuse the Service by means of bots, cheat tools, or other technical measures, or that deliberately exploit defects of the Service.
(10) Activities that make unreasonable inquiries to the Company, make undue claims against the Company, or interfere with the Company's operation of the Service or Users' use of the Service.
(11) Activities that aid or encourage any activity listed in items (1) through (10) above.
(12) Other activities deemed by the Company to be inappropriate.
(1) Other services and/or content offered by the Company may be included within or linked to the Service. Such services and/or content may be governed by other terms and conditions set by the Company.
(2) Services and/or content offered by business partners cooperating with the Company may be included within or linked to the Service. The Company is not responsible for such services and/or content, which may be governed by the business partners' own terms and conditions.
(1) Users shall use this Service at their own risk and shall bear all responsibility for actions carried out and their results within this Service. It is the User's responsibility to store or back up their videos, photos, or images captured or created through the Service. The Company does not guarantee that Users can normally store their videos, photos, or images on their smartphones or tablet computers.
(2) The Company may take measures it considers necessary and appropriate, such as terminating or suspending a User's rights to use the Service, if the Company determines that a User is using the Service in a way that violates these Terms. The Company shall not be responsible for correcting or preventing such violations toward Users or others.
(3) If the Company suffers loss or damage, or is charged an expense (including but not limited to legal fees) directly or indirectly due to a User's use of the Service (including claims against the Company by third parties), the User shall immediately compensate the Company upon its request.
(1) The Company does not expressly or impliedly guarantee that the Service is free from de facto or legal flaws (including but not limited to stability, reliability, accuracy, integrity, effectiveness, fitness for particular purposes, security-related faults, errors, bugs, or infringements of rights). The Company shall not be responsible for providing the Service without such defects.
(2) The Company shall not be responsible for any damages inflicted upon Users in relation to their use of the Service.
(3) Notwithstanding item (2) above, the Company shall not be responsible for any indirect, special, incidental, consequential, or punitive damages with respect to the Company's contractual default or act of tort due to the Company's negligence (except gross negligence). Compensation for ordinary damages in respect of the Company's contractual default or act of tort due to negligence (except gross negligence) shall be limited to the total amount of fees received from the User in the calendar month in which the default or act of tort occurred.
The Company may modify these Terms when it deems necessary, without providing prior notice to Users. Modifications become effective once posted on the Service. By continuing to use the Service, Users are deemed to have granted valid and irrevocable consent to the modified Terms.
